Thanks to Digest lag, this has probably been answered several times already, 
but anyway just in case it hasn't.

You may have too many files and folders in the root directory of the flash 
Drive.

Delete a couple of files on the flash drive, then create a subdirectory, and 
copy stuff into the subdirectory on the flash drive, rather than the root 
directory.

IIRC the older file Windows systems, as used by floppy disks, and smaller flash 
drives (FAT12 and 16), had a hard limit for the number of folders or files 
(Directory entries) in the root directory. Subdirectory are not themselves 
limited in the same way, as they can daisychain extra space for the list of 
directory entries.
